These Terms and Conditions (“Terms”) govern your use of the FlowState Financial website (flowstatesfinancial.com) and the financial services provided by FlowState Financial (“Company,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services Overview

FlowState Financial provides the following financial services to U.S.-based businesses: monthly bookkeeping services (QuickBooks Online, Xero), payroll processing and multi-state HR compliance, financial technology consulting and system integration, digital marketing and revenue analytics, audit readiness and financial statement preparation support, and business advisory and fractional CFO services.

Important: FlowState Financial does not perform independent audits, issue audit opinions, provide tax advice, or act as a licensed CPA firm for tax filing purposes. Our audit readiness support prepares your records for review by your independent CPA firm.

2. Client Engagement

All service engagements are governed by a separate Client Service Agreement (“CSA”) that specifies scope, deliverables, timelines, pricing, and communication structure. These Terms supplement the CSA. In the event of a conflict between these Terms and the CSA, the CSA shall govern.

3. Pricing and Payment

  • All pricing is quoted as flat monthly fees unless otherwise specified in your CSA.
  • Bookkeeping plans start at $399/month; payroll starts at $199/month; fractional CFO starts at $1,500/month.
  • Catch-up bookkeeping is priced separately based on volume and complexity.
  • Invoices are issued monthly and payment is due within 15 days of invoice date.
  • Late payments may incur a fee of 1.5% per month on outstanding balances.
  • No hourly billing unless explicitly agreed upon in a project-based engagement.

4. Confidentiality and Data Protection

We treat all client financial data with the highest level of confidentiality. Our data handling practices include 256-bit SSL encryption for all data in transit, SOC 2 compliant hosting infrastructure, multi-factor authentication (MFA) enforced on all financial platforms, role-based access controls with quarterly user access reviews, 7-year document retention in accordance with IRS requirements, and daily encrypted backups with off-site storage.

We will never share your financial data with third parties without your written consent, except as required by law or as necessary to provide the services you have engaged us for (e.g., communicating with your CPA firm). 5. Client Responsibilities

To ensure accurate and timely service delivery, clients agree to provide timely access to bank feeds, payment platforms, and relevant financial systems; respond to information requests within a reasonable timeframe; approve payroll, bills, and journal entries in a timely manner; notify us of material business changes (new hires, state expansions, entity changes); and not submit confidential credentials, tax documents, or personal identification through public-facing forms on our website.

6. Limitation of Liability

FlowState Financial provides bookkeeping, payroll, advisory, and financial technology services — not legal, tax, or investment advice. Our work product is prepared based on information provided by the client and applicable accounting standards (GAAP). We do not guarantee specific financial outcomes, tax results, or business performance.

To the maximum extent permitted by law, FlowState Financial’s total liability for any claim arising out of our services shall not exceed the total fees paid by the client during the three (3) months preceding the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.

7. Disclaimer on Financial Projections

Any financial projections, cash flow forecasts, scenario models, or KPI targets provided by FlowState Financial are estimates based on historical data and stated assumptions. They are not guarantees of future performance. Actual results may differ materially from projections due to market conditions, business decisions, and other factors beyond our control.

8. Term and Termination

  • Monthly service engagements operate on a month-to-month basis after any initial commitment period specified in your CSA.
  • Either party may terminate the engagement with 30 days written notice.
  • Upon termination, we will provide a complete handoff of all financial records, workpapers, and system access within 15 business days.
  • Outstanding fees for work completed through the termination date remain due.

9. Intellectual Property

All proprietary tools, templates, checklists, dashboards, and methodologies developed by FlowState Financial remain our intellectual property. Clients receive a perpetual, non-exclusive license to use customized deliverables (financial statements, reports, dashboards) created specifically for their engagement.

10. Governing Law

These Terms are governed by the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or in the state or federal courts located in California.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
